These Terms of Service (“Terms”) govern your access to the website pizzalolo.online and your use of coordination services offered by Northwell Provisions Inc. (“Northwell,” “we,” “us,” or “our”). By requesting a quote, placing an order through our channels, or otherwise engaging our services, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, you must not use our services.
Agreement to Terms
You represent that you have authority to bind your organization, if applicable, and that the information you supply is accurate. These Terms form a binding agreement between you and Northwell. They operate alongside any written statement of work, order confirmation, or invoice we issue; where a specific engagement document conflicts with these Terms on a material point, the engagement document prevails only to the extent of that conflict.
We may revise these Terms periodically. The “Last updated” date above will change accordingly. Material changes will be communicated through reasonable means, such as email to your designated contact or notice on our website. Continued use of our services after the effective date constitutes acceptance, except where applicable law requires your separate consent.
Description of Service
Northwell provides third-party coordination for group food orders and related logistics. We communicate requirements to independent vendors, consolidate information, and help align timing, quantities, and delivery details. We are not a restaurant, kitchen operator, or manufacturer of food products. Food preparation, packaging quality, ingredient sourcing, and compliance with food-safety regulations at the point of production remain the responsibility of the vendor you select or that we propose subject to your approval.
Our website and branding may reference menu styles or cuisines for clarity; such references do not imply ownership, control, or endorsement of any third-party establishment. Northwell is an independent coordination service and is not affiliated with, endorsed by, or sponsored by Pizzaiolo or any similarly named business unless expressly stated in writing for a particular engagement.
Service availability depends on vendor capacity, geographic coverage, and the accuracy of information you provide. We may decline engagements that present unreasonable safety risks, legal concerns, or operational conflicts, acting in good faith and, where practicable, suggesting alternatives.
User Responsibilities
You agree to provide complete and timely information, including final headcounts within the windows we specify, accurate delivery addresses, site access instructions, and allergy or dietary information your organization requires us to convey. You are responsible for obtaining internal approvals, permits, or school-board authorizations necessary for the event.
You will not use our services for unlawful purposes, to misrepresent your identity, or to harass staff or vendors. You indemnify Northwell against third-party claims arising from your instructions, your venue, or your failure to disclose material facts (for example, restricted access routes or equipment limitations) that affect fulfillment.
If you receive food on behalf of a group, you remain responsible for onsite handling, temperature control after handoff where applicable, and distribution in line with your organization’s policies.
Ordering and Payment
Quotes are estimates until confirmed in writing. Vendor pricing for food and beverages is set by the supplier and may change with market conditions or menu substitutions. Coordination fees compensate Northwell for planning, communication, and oversight; those fees will be disclosed before you commit, either as a line item on our invoice or embedded in a package price with a clear breakdown upon request.
Tax treatment follows applicable Canadian rules. Unless a valid exemption certificate is provided and accepted in advance, estimates and invoices will include GST and HST (and provincial sales tax where applicable) as required for the place of supply. You are responsible for confirming your organization’s tax status with your finance team.
Payment terms appear on each invoice. Late payment may incur interest at the rate permitted under British Columbia law or the rate stated on the invoice, whichever is lower, together with reasonable collection costs. We may suspend further services for accounts in significant arrears.
Chargebacks without prior discussion are discouraged; if a dispute arises, contact us first so we can review delivery records and vendor confirmations.
Cancellation Policy
Cancellations strain vendor production schedules; the following policy balances fairness to clients with commitments we must make upstream.
- Forty-eight hours or more before the scheduled service time: You may cancel for a full refund of coordination fees and any prepaid amounts we hold specifically for your event, except non-recoverable pass-through costs we have already paid to vendors with your direction (those amounts remain owing or non-refundable as disclosed at cancellation).
- Less than forty-eight hours but twenty-four hours or more before service: We will use reasonable efforts to reduce vendor charges; you remain responsible for coordination fees already incurred and for vendor cancellation charges stipulated in your order confirmation.
- Less than twenty-four hours before service: Cancellations may incur substantial or complete forfeiture of food costs and coordination fees, because suppliers may have completed preparation. We will document amounts withheld and provide receipts where available.
Rescheduling follows the same timing logic measured from the new service time. Force majeure events (such as government closures or natural disasters) will be addressed cooperatively and in accordance with applicable consumer protection standards, without waiving vendor pass-through obligations that are outside our control.
Limitation of Liability
To the fullest extent permitted by applicable law, Northwell’s aggregate liability arising out of or relating to these Terms or our services—whether in contract, tort (including negligence), or otherwise—shall not exceed the coordination fees you paid to Northwell for the specific engagement giving rise to the claim during the six (6) months preceding the event.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost goodwill, or business interruption, except where such exclusion is prohibited by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence where such limitation is unlawful, or for fraud or fraudulent misrepresentation.
Because we do not prepare food, claims related to product quality, contamination, or mislabeling should be directed primarily to the producing vendor; we will reasonably assist with documentation and contact facilitation.
Intellectual Property
The content on pizzalolo.online—including text, graphics, logos, layout, and compilation—is owned by Northwell or licensed to us and is protected by Canadian and international intellectual property laws. You may not copy, scrape, or redistribute our materials for commercial purposes without prior written consent.
You grant Northwell a limited licence to use your trademarks and event names solely to perform the services you request. Feedback you provide may be used to improve our operations without obligation to compensate you, provided we do not publicly attribute sensitive internal details without permission.
Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules that would refer matters to another jurisdiction.
Subject to mandatory arbitration or administrative forums where applicable law requires otherwise, you agree to bring disputes exclusively in the courts located in Vancouver, British Columbia, and you consent to their jurisdiction.
